1. Acceptance of these Terms

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Eligibility and accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3. The Services

The Services may include payment collection, payout functionality, dashboards, and APIs. We may modify, suspend, or discontinue any part of the Services at any time. We will make reasonable efforts to provide notice of material changes when practicable.

4. Your responsibilities

You agree to use the Services in compliance with applicable laws and regulations, and to ensure your users and merchants (if any) do the same. You are responsible for:

• Obtaining any required consents and providing notices to your users
• Accurate transaction data and lawful payment instructions
• Implementing security best practices (e.g., protecting API keys)
• Maintaining your own records and reconciliation processes

5. Prohibited activities

You may not use the Services to engage in unlawful, harmful, or abusive conduct. This includes (without limitation):

• Fraud, money laundering, or financing illegal activities
• Processing transactions for prohibited or restricted goods/services
• Attempting to bypass security or interfere with the Services
• Reverse engineering, scraping, or abusing rate limits

6. Fees and taxes

You agree to pay any applicable fees described in your order form, pricing page, or other agreement with us. Fees may be subject to taxes, which you are responsible for paying unless otherwise stated.

7. Third-party services

The Services may rely on third-party networks, partners, or providers. We are not responsible for third-party products or services, and their terms may apply to your use.

8. Intellectual property

We retain all rights, title, and interest in and to the Services, including all related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services.

9. Confidentiality

Each party may receive confidential information from the other. You agree to protect confidential information using reasonable care and to use it only for purposes of using the Services.

10. Suspension and termination

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms, pose a security risk, or your use may expose us or others to liability. You may stop using the Services at any time.

11. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, muv. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. In no event will muv.'s aggregate liability exceed the fees paid by you to muv. for the Services in the period specified in your agreement (or, if none, a reasonable amount as permitted by law).

13. Indemnification

You agree to indemnify and hold harmless muv. and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Services or your violation of these Terms.

14. Governing law and disputes

These Terms are governed by the Laws of Zambia, unless your agreement with us specifies otherwise. Any disputes will be handled in the courts of Lusaka or forums specified in your agreement with us.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to provide notice. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
